TOURIST BASED BUSINESS  DESIGN SERVICES AGREEMENT

 This agreement between “Client” who is engaging Sapodil Bahamas Solutions Ltd. “Sapodil” located at 28 Kiwi Road, Saffron Hill, West Bay Street on the date this form is submitted to act as an independent contractor for the specific project to provide one or more of the following services:

·      Website Design, Development & Hosting Services

Sapodil Bahamas Solutions Ltd (referred here as “Sapodil” or “Sapodil Solutions”) terms and conditions are simple and straightforward. These are activated once an email of confirmation from you for your order (of any kind of service that we offer) are received by our team. 

Sapodil will use telephone, email, Basecamp, Microsoft Teams, WhatsApp and/or text messaging for any form of communication with you.

Sapodil holds no responsibility if outside links that you have authorized to be connected to your website such as third-party applications or other websites have made changes or major updates that affect the functionality of your core website on our platform.

Sapodil makes no guarantees that any of its products or services will increase your business, give you page one Google ranking, increase revenues, or profitability.

Please note that all the Team members of Sapodil are under strict non compete clauses with Sapodil, so please be respectful of your relationship with Sapodil and our relationship with our Team. Should you decide to solicit our employee for hire or outside services we also reserve the right to terminate our business with you and enforce our non-compete clause with our employee.

Sapodil reserves the right to decline projects that have content that is illegal in the jurisdictions that we serve, discriminatory, violent or is sexually explicit in nature. Sapodil reserves the right to decline all projects, companies, individuals or associates that we are not comfortable about supporting or providing services for.

We reserve the right to update our agreements, terms and conditions from time to time so please take note of any change notices that you are prompted to review.

All dollar figures here are in Bahamian currency, unless otherwise, clearly specified.

1. WEBSITES

Definition of terms

“Website” and “Site” are used here interchangeably both hold the same meaning referring to a page or collection of pages on the World Wide Web

“Full build” refers to (if used as a verb) building the site fully on the Sapodil hosting platform; (if used as a noun) a website completely built or will be built on the Sapodil hosting platform.

“Minor changes” refers to any edits or changes in text, replacement of images, change of color, but it does not considerably affect the layout or overall design theme of the website and does not include technical work. This does not include any additional pages or features.

1.1            Sapodil requires its clients or our client’s clients to complete our build form for each site you want us to build. This will ensure that it is created as per your specifications accurately on our platform.

1.2          In cases where the customer has a current website, Sapodil must be informed of the total number of pages and the features they want to keep for the new site.

1.3          Sapodil requires you to submit all the information and web contents needed to complete your site before we proceed to building it and may request additional content information during the build process. If requested information is not received within a reasonable time frame this could render the project as delayed and Sapodil reserves the right to charge a monthly hosting fee for the incomplete site. 

1.4          For tourist-based businesses referred to Sapodil by the Tourism Development Center Sapodil will design a single page (microsite) using one of our existing templates or creating a custom design up to a total of five sections per microsite as per our proposal to the Tourism Development Center. Any other custom website choices will be at the current service rates of Sapodil which can be provided via a quotation upon request.

1.5          Upon approval of the website, Sapodil will invoice you in full based on the quotation that you have agreed to and once settled, Sapodil will then move to the full completion of the microsite which will be finalized within the timeframe mentioned on the proposal. Please note that under the proposal to the Tourism Development Center payment will commence at the start of the project at a defined rate for six-months.  This excludes add-ons such as e-commerce, API integrations, custom widget development, third party integrations apps, etc. that you may request for your site.

1.6          The proposal for which this agreement has been prepared requires a six-month hosting commitment that you will agree to upon acceptance of this agreement. Should you wish to end the agreement prior to six months Sapodil reserves the right to collect $75.00 for the free microsite design provided under the Tourism Development Center proposal.

1.7           Sapodil will design and build your website using the information and assets you provided us with on the build form. Sapodil reserves the right to reject any assets that are does not meet the appropriate design quality, resolution, format, or other technical infractions of a similar nature.

1.8          Sapodil will use images/photos provided by you or will offer images from its library or from the internet. Any image found that is required to be purchased by Sapodil, you will be advised of the cost. Upon your approval, this cost will be an addition to your invoice.

1.9          Images and Videos should be properly labeled and of the best quality possible. Videos should only be on YouTube or Vimeo, no other formats will be accepted. Sapodil will not be responsible for restoring low resolution images or recreating/redesigning an image to make it high resolution.

1.10        Sapodil offers 2 free sets of minor changes after the site is done. The customer is expected to check all the pages of the site on different devices before sending back changes. Any additions/changes to the site that have not been provided in the initial information, and are not associated with the original information will be completed at an additional cost of $30.00 per hour.

1.11         Sapodil will grant access to the website, template, or any product only after invoices are settled. If access is granted prior to invoices being settled for any reason Sapodil reserves the right to withdraw access at any time if an invoice is not settled.

1.12        Sapodil will only provide access to the website after it has been made live. Any changes made by the client that result in site damages, malfunction, and the like, will not be the responsibility of Sapodil. We will be able to repair the damage at an additional cost.
 

2     GRAPHIC WORKS

2.1          Sapodil will ask the customer to fill out the order form for all the details needed to get started. Sapodil will then advise the total cost for the said project unless otherwise explicitly stated in a prior proposal or estimate.

2.2         Sapodil will send an invoice to start the project and once paid in full or as outlined in section 1.5 the project will commence.

2.3         Sapodil will create 1 version of the graphic and will submit JPG files for review and feedback within 24 – 72 hours of submission.

2.4         Sapodil will allow 1 free set of graphic work changes if there is anything that needs to be adjusted according to the client’s initial request. 

3     HOSTING PLAN

3.1          Website hosting plans are associated with all Sites built on the Sapodil plan and our rates will apply based on the hosting plan accepted in the custom proposal. 

3.2         The hosting plan is a monthly recurring fee to keep the website published and available for public viewing on the world wide web.

3.3         The existing domain name will be pointed or transferred to the Sapodil hosting platform or a new domain name may be purchased if desired.

4     CANCELLATION & CONFIDENTIALITY CLAUSE

4.1          Customers may request to terminate their Sapodil Custom Site by emailing us at support@sapodil.com one (1) month prior to their next billing cycle.

4.2         Sapodil has the right to unpublish the site and cancel the subscription if the monthly subscription charge failed and the payment is not settled within 10 days from the subscription renewal date. The customer still has to pay any unpaid hosting or subscription fees.

4.3         Sapodil respects you and your clients, and we have a total ‘non-Solicit’ policy. Your clients and your information are yours and we do not cross the confidential line.

4.4        Sapodil expects that all meetings, recordings, proposals, emails, and other correspondences through accepted communication channels along with the details of our business relationship information is kept confidential.
